Welcome to Gakuto. These Terms of Service ("Terms") govern your access to and use of the Gakuto platform ("Platform"), provided by Gakuto ("we," "us," or "our"). By registering for an account, executing a subscription agreement, or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Platform, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy. If you are entering into these Terms on behalf of a company, educational institution, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Gakuto provides a cloud-based software-as-a-service (SaaS) platform designed for tuition centres and educational institutions ("Centres") to manage student enrollment, tutor assignments, academic cohorts, and performance reporting.

3. Account Registration & Security

• Eligibility: You must be at least 18 years of age to register a Centre account.
• Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
• Account Security: You are solely responsible for safeguarding your login credentials (including Multi-Factor Authentication codes). You agree to notify us immediately of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Data Ownership and License

• Centre Data: The Centre retains all right, title, and interest in and to the data, including personal data of students and staff, submitted to the Platform ("Centre Data"). Gakuto acts solely as a Data Processor.
• License to Gakuto: You grant Gakuto a worldwide, non-exclusive, royalty-free license to host, copy, process, and display Centre Data solely for the purpose of providing and improving the Platform services to you.
• Platform IP: Gakuto retains all intellectual property rights in the Platform, its underlying technology, and its documentation.

5. Acceptable Use Policy

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any unlawful purpose or in violation of any applicable local or international law (including data protection laws).
• Uploading or transmitting viruses, malware, or any other malicious code.
• Attempting to reverse engineer, decompile, or extract the source code of the Platform.
• Bypassing or breaching any security or authentication measures implemented by the Platform.

6. Artificial Intelligence (AI) Features

Gakuto utilizes third-party Artificial Intelligence models (including, but not limited to, Google Gemini and OpenAI) to provide automated features, such as student progress report generation.Disclaimer: AI-generated content is provided for convenience. You acknowledge that AI output may contain inaccuracies and agree that it is your sole responsibility to review, verify, and edit all AI-generated content before publishing or distributing it to parents or students.

7. Fees, Billing, and Subscriptions

• Payment Processing: Subscription fees are processed securely via Stripe. By providing payment information, you authorize us to charge the applicable fees on a recurring basis.
• Taxes: Fees are exclusive of all taxes, levies, or duties. You are responsible for payment of all such taxes.
• Refunds: Unless required by law, subscription fees are non-refundable. If you cancel your subscription, you will retain access until the end of your current billing cycle.

8. Termination and Data Retention

You may terminate your account at any time. Upon termination, your right to access the Platform immediately ceases. For security and privacy, Gakuto will permanently delete your Centre Data within thirty (30) days following account termination, unless a longer retention period is required by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAKUTO, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC).
